Agreement to These Terms

These Terms of Use (the "Terms") are a binding agreement between you and Aileron Shift LLC, a California limited liability company, 636 Cypress Avenue, Hermosa Beach, CA 90254 ("Aileron Shift," "we," "us," or "our"). They govern your use of aileronshift.com and its subdomains, including our free website scanner at scan.aileronshift.com, our online shop, and any content, tools, or features we offer through them (together, the "Site").

By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. Section 11 requires most disputes to be resolved by binding individual arbitration and waives jury trials and class actions.

Hosting and other services. Hosting plans and related services you buy from us are governed by our Hosting Terms of Service and any proposal or statement of work you sign. If those terms conflict with these Terms, they control for the services they cover.

1. Eligibility and Accounts

1.1 Eligibility. You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site for a business or organization, you represent that you have authority to bind it, and "you" includes that business or organization.

1.2 Accounts. To buy services or reach your account dashboard, you must create an account. You agree to give accurate and complete information, keep it current, keep your password confidential, and tell us right away at hello@aileronshift.com about any unauthorized use. You are responsible for all activity under your account.

2. Our Content and Your License

2.1 Ownership. The Site and everything on it, including text, graphics, logos, photographs, video, design, code, software, the website scanner and its reports, and the selection and arrangement of all of it, are owned by Aileron Shift or its licensors and are protected by copyright, trademark, and other laws.

2.2 License to you. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for your own informational and business purposes. You may print or save reasonable portions of the Site and your own scanner reports for those purposes, provided you keep all proprietary notices.

2.3 Trademarks. "Aileron Shift," "Avionics," our logos, and related names and marks are our trademarks. You may not use them without our prior written permission. Other marks on the Site belong to their owners.

2.4 Client work. Case studies and examples of client work on the Site belong to us or our clients and may not be copied or reused.

3. Acceptable Use

3.1 What you may not do. You agree not to, and not to help anyone else to:

  1. use the Site in violation of any law or anyone else's rights;
  2. copy, scrape, crawl, harvest, or index the Site or its data by automated means, except as allowed by our robots.txt file for public search engines;
  3. use the Site, its content, or scanner reports to train, fine-tune, or benchmark any artificial intelligence or machine-learning model, or to build a competing product or service;
  4. reverse engineer, decompile, or attempt to obtain the source code of the Site or the scanner, except as the law expressly permits;
  5. probe, scan, or test the vulnerability of the Site or any system or network connected to it, or breach or bypass any security or authentication measure;
  6. interfere with or disrupt the Site, including by sending excessive requests, uploading malware, or launching a denial-of-service attack;
  7. impersonate any person or organization, or misstate your affiliation with anyone;
  8. send spam, chain letters, or unsolicited commercial messages through the Site's forms;
  9. submit false, misleading, or unlawful information, or information you do not have the right to share; or
  10. frame, mirror, or resell any part of the Site.

3.2 Enforcement. We may investigate any suspected violation, block access, remove content, suspend or close accounts, and work with law enforcement.

4. The Free Website Scanner

4.1 Authorized scans only. Submit only websites that you own or are authorized to have scanned. By submitting a website, you represent that you have that authority.

4.2 What the scanner does. The scanner reviews the publicly available pages of the website you submit and reports automated findings on accessibility, search, social, and content factors.

4.3 Reports are informational. Scanner grades and findings are automated, general information about a point in time. They are not legal advice, an accessibility or compliance audit, a certification, or a guarantee that a website meets any law or standard, including the Americans with Disabilities Act or the Web Content Accessibility Guidelines. Act on them at your own discretion, and consult qualified professionals for advice about your obligations.

4.4 Limits. We may limit, change, or discontinue the scanner, or decline to scan any website, at any time.

5. Purchases, Subscriptions, and Pricing

5.1 Orders. Prices and plan details are shown in our shop at the time of purchase. We may refuse or cancel any order, including for suspected fraud or a pricing error, and will refund any amount charged for an order we cancel.

5.2 Automatic renewal. Hosting plans are subscriptions that renew automatically at the end of each billing period, and we will charge your payment method on file at each renewal until you cancel. The price, billing period, and renewal terms are shown at checkout and in your order confirmation email. You can cancel anytime in your account dashboard or by emailing hello@aileronshift.com. Cancellation, refunds, renewal reminders, and price changes are governed by Sections 4 and 9 of the Hosting Terms of Service.

5.3 Payments. Payments are processed by our third-party payment processor under its terms. You authorize us and our processor to charge the payment method you provide for all amounts due.

5.4 Taxes. Prices do not include taxes unless stated. You are responsible for any taxes that apply to your purchase.

6. Your Submissions and Feedback

6.1 Submissions. When you send us information through the Site, such as a contact form, onboarding details, or a scanner request, you grant us a non-exclusive, royalty-free license to use it to respond to you, provide the services you request, and operate the Site, as described in our Privacy Policy. You represent that you have the right to share it.

6.2 Feedback. If you send us ideas or suggestions about our Site or services, we may use them without restriction or obligation to you.

6.3 Communications. You agree that we may communicate with you electronically, and that electronic notices, agreements, and records satisfy any requirement that they be in writing.

7. Copyright Complaints

We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512. Send notices to our designated agent: Legal Department, Aileron Shift LLC, 636 Cypress Avenue, Hermosa Beach, CA 90254, hello@aileronshift.com. We will terminate the accounts of repeat infringers in appropriate circumstances. Complaints about websites we host for clients are handled under Section 6.5 of the Hosting Terms of Service.

8. Third-Party Links and Services

The Site links to and works with websites and services we do not control, including client websites, payment processors, and analytics providers. We are not responsible for their content, policies, or practices, and your use of them is governed by their own terms.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer. THE SITE, THE WEBSITE SCANNER, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AILERON SHIFT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SCANNER RESULTS WILL BE COMPLETE OR ACCURATE.

9.2 Exclusion of certain damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AILERON SHIFT AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability for services you buy from us is governed by the Hosting Terms of Service.

9.4 Exceptions. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, willful injury, or willful or gross negligence to the extent California Civil Code § 1668 prohibits limiting it.

10. Indemnification

You will defend, indemnify, and hold harmless Aileron Shift and its members, managers, employees, contractors, and agents from and against all third-party claims, and all resulting losses, damages, judgments, settlements, costs, and reasonable attorneys' fees, arising out of or relating to your use of the Site, your submissions, your breach of these Terms, or your violation of any law or anyone else's rights.

11. Disputes and Arbitration

11.1 Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to Section 11.

11.2 Informal resolution first. Before starting arbitration, you and we each agree to send the other a written description of the dispute and to try in good faith to resolve it for at least 30 days. Send your notice to hello@aileronshift.com.

11.3 Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator, in Los Angeles County, California, or by video conference if you prefer. If you are an individual using the Site for personal purposes, the JAMS Consumer Arbitration Minimum Standards apply, and we will pay all JAMS filing, administrative, and arbitrator fees beyond what you would pay to file in court. The arbitrator may award any individual relief available in court.

11.4 Class action and jury waiver. Claims may be brought only in your or our individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.

11.5 Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop a violation of Section 3. Any court action allowed by these Terms will be brought exclusively in the state or federal courts in Los Angeles County, California, and each party consents to their jurisdiction.

11.6 Opt-out. You may opt out of this Section 11 by emailing hello@aileronshift.com within 30 days after you first accept these Terms, with your name, the email address you use with us, and a statement that you opt out of arbitration. If you opt out, disputes will be resolved in the courts named in Section 11.5.

11.7 Severability of this section. If the class action waiver in Section 11.4 is found unenforceable for any claim, that claim will proceed in the courts named in Section 11.5, and the rest of this Section 11 will still apply to all other claims.

12. General Terms

12.1 Changes to these Terms. We may update these Terms by posting the revised version on this page with a new "Last updated" date. Material changes take effect 30 days after posting, and other changes take effect when posted. Your continued use of the Site after a change takes effect means you accept it. Changes do not apply to a dispute of which we had notice before the change was posted.

12.2 Changes to the Site. We may change, suspend, or discontinue any part of the Site at any time.

12.3 Termination. We may suspend or end your access to the Site at any time if you violate these Terms. Sections 2, 3, 6 through 12, and any other provision that by its nature should survive, survive termination.

12.4 Entire agreement. These Terms, our Privacy Policy, and, for services you buy, our Hosting Terms of Service and any signed proposal or statement of work, are the entire agreement between you and us about the Site.

12.5 Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor in a merger, acquisition, or sale of assets.

12.6 No waiver; severability. A failure to enforce any provision is not a waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the rest of these Terms will remain in effect.

12.7 Export. You may not use the Site in violation of U.S. export control or sanctions laws.

12.8 California consumer notice. Under California Civil Code § 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs can be reached in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

12.9 Accessibility. If you have trouble using any part of the Site because of a disability, email hello@aileronshift.com and we will provide the information in another way.
